Terms of Service

These Terms of Service govern access to and use of Vortyx, including the Vortyx mobile application, web services, APIs, integrations, websites, and related services.

By creating an account, connecting an integration, accessing the Service, or using Vortyx, you agree to these Terms. If you do not agree, do not use the Service.

1. What Vortyx Does

Vortyx helps users capture work, connect calendars and communication tools, identify operational follow-ups, create tasks, manage recurring responsibilities, and surface continuity reminders.

Vortyx may use automation and AI-assisted processing to generate user-visible summaries, review items, task suggestions, follow-up suggestions, reminders, draft actions, and operational continuity insights.

Vortyx is an assistance tool. You remain responsible for reviewing information, deciding what actions to take, and confirming any external actions that Vortyx prepares or performs.

2. Eligibility and Accounts

You may use Vortyx only if you can legally enter into a binding agreement and are permitted to use the Service under applicable law.

If you use Vortyx on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for:

  • Providing accurate account information.
  • Keeping your account credentials secure.
  • Maintaining control over devices and third-party accounts connected to Vortyx.
  • All activity that occurs under your account, except where caused by Vortyx's breach of these Terms or applicable law.

3. Workspaces and Shared Use

Vortyx may allow users to create or join workspaces. A workspace is a shared operational continuity scope where tasks, loops, reminders, insights, and other workspace-scoped objects may be visible to members according to product behavior and permissions.

You are responsible for ensuring that you have the right to add, share, process, or invite others to access content within a workspace.

Personal connected-service content, such as personal email or calendar data, is not automatically shared with workspace members unless you explicitly create, convert, confirm, share, or collaborate on workspace-scoped objects derived from that content.

Workspace owners and administrators may be able to invite members, remove members, manage workspace settings, and view workspace-scoped content.

4. Connected Services and Third-Party Accounts

Vortyx may allow you to connect third-party services, including Google, Microsoft, Slack, Apple, and other providers.

By connecting a third-party service, you authorize Vortyx to access and process data from that service only as needed to provide the Vortyx features you enable or request.

You are responsible for complying with the terms and policies of any third-party service you connect. Vortyx is not responsible for third-party services, changes to third-party APIs, outages, account restrictions, or provider policy changes.

You may disconnect integrations where supported. Disconnecting an integration stops future synchronization and access, but previously created Vortyx objects, such as tasks, reminders, summaries, review decisions, or workspace-scoped records, may remain until deleted under applicable product controls and retention practices.

5. Google API Services

If you connect a Google account or authorize Google API access, Vortyx will use Google user data only as described in these Terms, the Vortyx Privacy Policy, and any Google API data-use disclosure published by Vortyx.

Vortyx's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Vortyx does not use Google user data for advertising, retargeting, personalized ads, contact scraping, resale, unrelated analytics, or generalized AI model training.

Vortyx does not automatically send Gmail messages without your authorization.

Vortyx does not autonomously send external communications or perform external actions without user authorization except where explicitly configured by you.

You may revoke Vortyx's access to Google data through Vortyx settings where available or through your Google Account permissions.

Vortyx may request Google OAuth scopes only for implemented user-facing features. For example:

  • Gmail read-only access may be used to identify emails that may require user follow-up, detect waiting states and unresolved work, generate review items, and create user-approved tasks, reminders, summaries, or draft response actions.
  • Gmail send access may be used only to send emails that you explicitly initiate, approve, or trigger inside Vortyx.
  • Google Calendar access may be used to support scheduling, availability, task planning, and calendar event features that you request or enable.

6. Microsoft Services

If you connect a Microsoft account or authorize Microsoft Outlook Mail or Microsoft Outlook Calendar access, Vortyx will use Microsoft data only to provide the user-facing Vortyx features you enable or request.

Outlook Calendar access may be used to support scheduling, availability, task planning, reminders, and calendar event features that you request or enable.

Vortyx does not use Microsoft Outlook or Calendar data for advertising, resale, data brokerage, unrelated analytics, or generalized AI model training.

You may disconnect Microsoft integrations in Vortyx where available or revoke access through your Microsoft account settings.

Outlook Mail access may be used to:

  • Identify emails that may require user follow-up
  • Detect waiting states and unresolved work
  • Generate user-visible review items
  • Create user-approved tasks, reminders, summaries, draft response actions, or follow-up actions
  • Send emails only when you explicitly initiate, approve, or trigger an email sending action inside Vortyx

7. Slack Services

If you connect Slack or authorize Slack access, Vortyx will use Slack data only to provide the user-facing Vortyx features you enable or request.

Vortyx does not use Slack data for advertising, resale, data brokerage, broad workspace surveillance, or unrelated analytics.

Slack content is not automatically converted into Vortyx workspace objects unless a user invokes, confirms, saves, or enables a related Vortyx feature.

You may disconnect Slack integrations in Vortyx where available or revoke access through Slack workspace or app settings.

Slack access may be used to:

  • Connect or bind a Slack workspace to a Vortyx workspace
  • Handle Slack commands, interactions, or user-invoked capture flows
  • Create user-visible review items, tasks, summaries, or continuity objects from Slack captures
  • Maintain Slack connection status, workspace routing, and user-linking state

8. User Content

"User Content" means content, data, files, text, emails, calendar information, messages, audio, transcripts, tasks, notes, workspace records, and other materials that you submit to, connect to, generate in, or process through Vortyx.

You retain ownership of your User Content. You grant Vortyx a limited, worldwide, non-exclusive license to host, process, transmit, display, transform, and use User Content only as necessary to:

  • Provide, operate, secure, maintain, and support the Service.
  • Generate user-visible tasks, reminders, summaries, review items, suggestions, insights, and related product outputs.
  • Maintain integrations and synchronization that you enable.
  • Comply with legal obligations and enforce these Terms.

This license ends when the content is deleted from Vortyx, subject to reasonable retention for backups, security, legal compliance, abuse prevention, dispute resolution, or technical recovery.

You represent that you have the rights necessary to submit, connect, process, or share User Content through the Service.

9. AI-Generated Output and Recommendations

Vortyx may generate summaries, classifications, suggestions, drafts, reminders, action recommendations, insights, or other outputs using automated systems or AI service providers.

AI-generated output may be incomplete, inaccurate, outdated, or inappropriate for your circumstances. You are responsible for reviewing output before relying on it or taking action.

Vortyx does not provide legal, financial, medical, accounting, tax, employment, compliance, or other professional advice. Do not rely on Vortyx as a substitute for professional judgment.

Certain generated tasks, follow-ups, reminders, or suggested actions may require user review or confirmation before execution.

10. Acceptable Use

You may not use Vortyx to:

  • Violate laws, regulations, third-party rights, or contractual obligations.
  • Access, process, or share data that you are not authorized to use.
  • Send spam, phishing messages, malware, deceptive communications, or unlawful content.
  • Harass, threaten, abuse, exploit, or harm others.
  • Scrape, harvest, or misuse third-party data.
  • Circumvent security, rate limits, usage limits, subscription restrictions, or access controls.
  • Interfere with or disrupt the Service.
  • Reverse engineer, decompile, or attempt to extract source code except where permitted by law.
  • Use Vortyx or connected services to build, train, or improve competing services in violation of these Terms.
  • Use Vortyx for high-risk activities where failure could lead to death, personal injury, severe financial loss, or significant environmental damage.

We may suspend or terminate access if we reasonably believe your use violates these Terms, creates risk, or may harm users, Vortyx, third-party providers, or the public.

11. External Actions, Email Sending, and Calendar Events

Vortyx may help prepare or execute actions such as sending user-approved emails, scheduling events, setting reminders, or updating tasks.

You are responsible for reviewing recipients, message content, event details, dates, times, timezones, and other action details before approving or triggering an external action.

Vortyx is not responsible for consequences caused by inaccurate user input, incorrect third-party data, provider outages, unavailable APIs, delayed delivery, timezone misunderstandings, or actions you approve.

12. Subscriptions, Trials, Billing, and Plans

Some Vortyx features may require a paid subscription, paid plan, trial, quota, or entitlement.

Subscriptions may be billed through app stores, payment processors, or other billing providers. Billing terms, cancellation, refunds, renewal, taxes, and account management may also be governed by the applicable billing provider's terms.

Unless otherwise stated, subscription fees are non-refundable except where required by law or applicable app-store rules.

We may change plan features, quotas, prices, or entitlements prospectively. If required by law or platform rules, we will provide notice or obtain consent before changes take effect.

13. Privacy

The Vortyx Privacy Policy explains how Vortyx collects, uses, stores, shares, and protects personal information.

By using Vortyx, you acknowledge that personal information will be processed according to the Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy controls for that topic.

14. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect the Service and user data.

However, no system is completely secure. You are responsible for using strong authentication, protecting your devices, and promptly notifying us if you suspect unauthorized access.

15. Service Changes and Availability

We may modify, suspend, discontinue, limit, or remove parts of the Service at any time.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

Some features depend on third-party providers. Those features may stop working or change if the provider changes APIs, permissions, pricing, policies, or availability.

16. Beta, Experimental, and Pre-Release Features

Vortyx may offer beta, preview, experimental, or pre-release features. These features may be less reliable, may change without notice, and may be discontinued.

Use beta or experimental features at your own risk.

17. Intellectual Property

Vortyx and its software, designs, logos, trademarks, interfaces, workflows, models, documentation, and other materials are owned by Vortyx or its licensors and are protected by intellectual property laws.

Except for the rights expressly granted in these Terms, no rights are transferred to you.

You may provide feedback or suggestions. You grant Vortyx a perpetual, worldwide, royalty-free license to use feedback without restriction or compensation.

18. Termination

You may stop using Vortyx at any time.

We may suspend or terminate your access if:

  • You violate these Terms.
  • Required by law or third-party provider policy.
  • Your use creates risk or potential harm.
  • Your account is inactive for an extended period, where permitted by law.
  • We discontinue the Service.

After termination, some provisions will continue, including provisions related to ownership, privacy, disclaimers, limitation of liability, indemnity, dispute resolution, and general legal terms.

19. Disclaimers

To the fullest extent permitted by law, Vortyx is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Vortyx does not guarantee that suggestions, summaries, classifications, reminders, dates, tasks, or insights will be accurate, complete, timely, or suitable for your needs.

20. Limitation of Liability

To the fullest extent permitted by law, Vortyx and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services.

To the fullest extent permitted by law, Vortyx's total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

  • The amount you paid to Vortyx for the Service during the 12 months before the event giving rise to the claim; or
  • USD $100.

Some jurisdictions do not allow certain limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.

21. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Vortyx and its affiliates, officers, employees, agents, suppliers, and licensors from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Your use of the Service.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Your use of connected services through Vortyx.
  • Actions you approve, trigger, or configure through Vortyx.

22. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India, except where applicable consumer protection laws provide otherwise.

Nothing in these Terms limits any rights that consumers may have under applicable law.

23. Subscription Billing and Payments

Certain features of the Service may require a paid subscription.

Subscriptions purchased through the Apple App Store or Google Play are billed and managed by the applicable platform provider. Subscription billing, renewals, cancellations, and refunds may also be subject to the terms, conditions, and policies of Apple or Google.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period unless canceled before renewal through the applicable platform account settings.

We do not control and are not responsible for billing practices, payment processing, or refund decisions made by Apple or Google.

Pricing, subscription features, and availability may change over time. Any pricing changes will apply prospectively as permitted by applicable law and platform policies.

24. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will provide notice where required by law or through reasonable product, email, or website notice.

Your continued use of the Service after changes become effective means you accept the updated Terms.
